the loe governs business enterprises in vietnam. enterprises in economic sectors have satisfy stipulated conditions accounted in article 7(2). there 4 forms of business enterprises.


limited liability company (llc)

structure of limited liability companies


an llc established members capital contribution company. llc legal entity separate owners, owner(s) s liability firm s debts , obligations limited capital contribution.


llcs exist in 2 forms - one-member llc, or multi-member llc. former owned organisation/individual, while latter allows 2 fifty members.


the management structure consists of members council (mc), chairperson of mc , director. there more 11 members in llc, inspection committee (ic) must established.


shareholding company (sc)

structure of shareholding company


an sc entity @ least 3 shareholders, ownership of firm depends on number of shares hold. form of enterprise can issue securities raise capital.


shareholders liability limited capital contribution; however, shareholders can liable company substantially undercapitalised on formation.


the management structure consists of shareholders meeting (sm), board of management (bom), director , ic.


partnership

a partnership comprises @ least 2 co-owners jointly conducting business under 1 common name, @ least 1 co-owner being individual. in partnership, there can both limited , unlimited liability partners.


the partners council, consisting of partners, highest body in partnership right resolve business affairs, such admission of new partners.


private enterprises

a private enterprise firm owned individual, legal representative owner has total discretion in making business decisions, , liable operations extent of assets. each individual can establish 1 private enterprise.
